Mr. de Martino is a corporate associate at Gersten Savage, LLP.
His practice focuses on domestic and cross-border corporate finance transactions, principally in connection with private placements of equity and debt securities, IPOs”, PIPEs”, registered direct offerings, venture capital financings, public and private mergers and acquisitions, joint-ventures, corporate governance and securities compliance matters.
Through a wide ranging network of investment bankers, venture capitalists, private equity groups, and asset and non-asset based lenders, Mr. de Martino assists corporate clients of the firm in arranging financing to accomplish their goals.
Mr. de Martino is a frequent lecturer on the subject of foreign companies raising capital in the United States. Before joining Gersten Savage LLP he was an attorney at Cahill Gordon & Reindel, LLP in New York, and Baker & McKenzie in Europe.
Mr. de Martino’s representative engagements include serving as counsel to:
- A public developer of interactive learning technology on its $160 million acquisition of a NY-based educational software developer;
- A leading international gaming company on the $600 million acquisition of a leading US technology-based gaming services company;
- A leading extractor of natural sweeteners on its $60 million joint venture with a US refined sugar company;
- A European bank in its $4 billion cross-border acquisition of local banks;
- An alternative energy corporation in its private offering of more than $1.1 billion of secured and unsecured long-term debt securities, including senior notes and first mortgage bonds;
- A biopharmaceutical company in its Reg. D Rule 506 offering of $800 million of equity;
- A pharmaceutical company in its $110 million PIPE;
- A European high-tech company in its $50 million venture capital financing;
- A telecommunication corporation in its cross-border acquisitions of Spanish, Italian and German companies;
- An international hotel group on the acquisition of properties in the US for over $750 million;
- A real estate fund in its cross-border joint-venture with European developers;
- A major real estate corporation in its compliance with and reporting under the 1933 Act and 1934 Act.
