David Latimer

David Latimer is a member of the corporate group at Gersten Savage LLP.

He represents private and public companies in mergers and acquisitions, corporate finance, corporate governance and reporting requirements.

Mr. Latimer earned a JD cum laude from American University Law School where he was an Articles Editor of the American University Law Review and an LL.M in Taxation from New York University School of Law.

Prior to joining Gersten Savage, Mr. Latimer practiced for three years with the corporate group of a national law firm in New York City.

The following are representative transactions:

• A NASDAQ listed US distributor and RMA servicer of mobile phones in a $835 million acquisition of one of the largest mobile phone distributors in Europe, a $65 million asset purchase of a large North and South American cell phone distributor and reporting and compliance under the US securities acts;

• A leading licensor of textile brands in the $240 million purchase of all the membership interests of a textile company;

• A multifamily real estate concern in a $74 million merger with an AMEX listed real estate company;

• Representation of the seller in a $40 million purchase of the assets of a paper supply company;

• An NYSE listed video game maker in a $30 million refinancing;

• Several private placements ranging in size up to $10 million;

• An industrial kitchen equipment maker in a $3 million purchase of stock in a cooking oven manufacturer;

• A $3 million asset purchase of a clothing manufacturer; and

• Formation and ongoing counsel of a not-for-profit that has grown to 10,000 volunteers in 3 countries.
