Paula Pescaru joined Gersten Savage in February 2007.  She has concentrated her practice on corporate and securities law, focusing on public and private financings, complex debt transactions, mergers and acquisitions, general corporate governance, securities compliance and hedge funds.  She represents public and private companies, hedge funds, venture capital funds, private equity funds and broker dealers. 

Representative Matters Include:

Representing Rusoro Mining Ltd. in a US$80,000,000 Loan Financing.

Serving as US counsel for Rusoro Mining Ltd. in a US$25,000,000 acquisition of assets located in Venezuela from a US public company.

Representing Rusoro Mining Ltd. in a hostile takeover of a US public company.

Representing various US and offshore hedge funds and funds of funds.

Advising clients with respect to regulatory and compliance issues, including compliance with the rules and regulations of the Securities and Exchange Commission, self regulatory organizations, and state securities  commissions. 

Advising companies on listing compliance standards of the US markets and preparing the periodic reports required to be filed by public companies.

Representing companies in private and public sales and acquisitions.
